1. Introduction

Welcome to Deepunit. These Terms of Service ("Terms") govern your access to and use of Deepunit's website, applications, and services (collectively, the "Services"), so please read them carefully before using the Services.

By accessing or using our Services, you agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, you may not access or use the Services.

Throughout these Terms, the following definitions apply:

  • "Deepunit", "we", "us", "our" refers to Deepunit, the provider of the educational Services.
  • "User", "you", "your" refers to any individual or entity that accesses or uses our Services.
  • "Content" refers to all text, graphics, images, music, software, audio, video, information, or other materials available through the Services.
  • "User Content" refers to any Content that users submit, post, or otherwise make available through the Services.

3. Eligibility

You must be at least 18 years old to use our Services. By using our Services, you represent and warrant that:

  • You are at least 18 years old;
  • You have the legal capacity to enter into a binding contract with Deepunit;
  • You are not prohibited from using the Services under the laws of South Africa or any other applicable jurisdiction;
  • You will comply with these Terms and all applicable local, state, national, and international laws, rules, and regulations.

4. Account Registration

Some features of our Services require you to register for an account. When you register, you agree to:

  • Provide accurate, current, and complete information;
  • Maintain and update your information as necessary;
  • Keep your password secure and confidential;
  • Notify us immediately of any unauthorized use of your account;
  • Accept responsibility for all activities that occur under your account.

We reserve the right to suspend or terminate your account if any information provided during registration or thereafter proves to be inaccurate, incomplete, or fraudulent.

5. Services and Fees

5.1 Educational Services

Deepunit provides educational services related to financial literacy and digital currencies. Our Services may include online courses, workshops, webinars, learning materials, and other educational resources.

5.2 Fees and Payments

Certain Services may require payment. By enrolling in a paid program or Service, you agree to pay the fees described at the time of enrollment. All fees are in South African Rand (ZAR) unless otherwise stated and are non-refundable except as expressly provided in these Terms.

Payment must be made using the methods specified on our website. You authorize us to charge the payment method you provide for the fees due and any applicable taxes.

5.3 Refund Policy

We offer a 14-day money-back guarantee for our educational programs. If you are not satisfied with a program, you may request a refund within 14 days of the program's start date. After 14 days, refunds are considered on a case-by-case basis and are not guaranteed. To request a refund, contact our support team at support@deepunit.uno.

6. Intellectual Property Rights

6.1 Our Content

The Services and all Content included in or made available through the Services, including but not limited to text, graphics, logos, icons, images, audio clips, videos, digital downloads, and data compilations, are the property of Deepunit or its content suppliers and are protected by South African and international copyright, trademark, and other intellectual property laws.

6.2 License to Use Our Content

Subject to your compliance with these Terms, Deepunit grants you a limited, non-exclusive, non-transferable, non-sublicensable license to access and use the Services and Content for your personal, non-commercial educational purposes. This license does not include:

  • The right to sell, resell, or commercially use the Services or Content;
  • The right to distribute, publicly perform, or publicly display any Content;
  • The right to modify or make derivative works based upon the Services or Content;
  • The right to scrape, data mine, or otherwise download Content in a bulk or systematic manner.

6.3 User Content

You retain all rights to any User Content you submit, post, or display on or through the Services. By submitting, posting, or displaying User Content, you grant Deepunit a worldwide, non-exclusive, royalty-free license to use, reproduce, modify, adapt, publish, translate, create derivative works from, distribute, and display such User Content in connection with providing the Services.

6.4 Feedback

If you provide feedback, ideas, or suggestions regarding our Services ("Feedback"), you acknowledge that such Feedback is not confidential and you grant us a worldwide, perpetual, irrevocable, royalty-free license to use and incorporate such Feedback into our Services without restriction or compensation to you.

7. Prohibited Conduct

You agree not to engage in any of the following prohibited activities:

  • Violating any applicable law, rule, or regulation;
  • Infringing the intellectual property rights or violating the privacy rights of others;
  • Using the Services for any illegal, harmful, fraudulent, or abusive purpose;
  • Interfering with the proper operation of the Services;
  • Attempting to access areas of our systems that you are not authorized to access;
  • Introducing viruses, malware, or other harmful code;
  • Scraping, data mining, or otherwise extracting data from our Services in an automated manner;
  • Using our Services to send unsolicited communications;
  • Impersonating another person or entity;
  • Using the Services to distribute content that is harmful, offensive, or otherwise objectionable.

8. Disclaimer of Warranties

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

Deepunit DOES NOT WARRANT THAT THE SERVICES ARE FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS, OR THAT THEY WILL BE UNINTERRUPTED OR ERROR-FREE. Deepunit MAKES NO WARRANTIES ABOUT THE ACCURACY, RELIABILITY, COMPLETENESS, OR TIMELINESS OF THE CONTENT PROVIDED THROUGH THE SERVICES.

EDUCATIONAL CONTENT IS PROVIDED FOR GENERAL INFORMATIONAL PURPOSES ONLY AND SHOULD NOT BE CONSTRUED AS FINANCIAL, INVESTMENT, LEGAL, TAX, OR OTHER PROFESSIONAL ADVICE. THE INFORMATION PROVIDED THROUGH OUR SERVICES IS NOT INTENDED TO REPLACE PROFESSIONAL ADVICE, AND YOU SHOULD CONSULT WITH A QUALIFIED PROFESSIONAL BEFORE MAKING FINANCIAL DECISIONS.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT WILL Deepunit, ITS AFFILIATES, DIRECTORS, EMPLOYEES, AGENTS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, CONSEQUENTIAL, INCIDENTAL, SPECIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING BUT NOT LIMITED TO DAMAGES FOR LOSS OF PROFITS, GOODWILL, USE, DATA, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATING TO YOUR USE OF OR INABILITY TO USE THE SERVICES, WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), STATUTE, OR ANY OTHER LEGAL THEORY, EVEN IF Deepunit HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

Deepunit'S TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING FROM OR RELATING TO THE SERVICES SHALL NOT EXCEED THE AMOUNT PAID BY YOU, IF ANY, FOR ACCESSING OR USING THE SERVICES DURING THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE DATE OF THE CLAIM.

SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF LIABILITY FOR CONSEQUENTIAL OR INCIDENTAL DAMAGES, SO THE ABOVE LIMITATION MAY NOT APPLY TO YOU.

10. Indemnification

You agree to indemnify, defend, and hold harmless Deepunit, its affiliates, officers, directors, employees, agents, and licensors from and against all claims, liabilities, expenses, damages, and losses, including reasonable attorneys' fees, arising from or relating to your use of the Services, your violation of these Terms, or your violation of any rights of another.

11. Termination

We may terminate or suspend your access to the Services immediately, without prior notice or liability, for any reason, including, without limitation, if you breach these Terms.

Upon termination, your right to use the Services will immediately cease. If you wish to terminate your account, you may simply discontinue using the Services or contact us to request account deletion.

All provisions of these Terms which by their nature should survive termination shall survive termination, including, without limitation, ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

12. Changes to Terms

We reserve the right to modify these Terms at any time. If we make changes, we will provide notice by updating the date at the top of these Terms and, in some cases, we may provide additional notice by sending you an email or displaying a prominent notice on our website.

Your continued use of the Services after such changes constitutes your acceptance of the new Terms. If you do not agree to the modifications, you should discontinue your use of the Services.

13. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of South Africa, without regard to its conflict of law provisions.

Any dispute arising from or relating to these Terms or the Services shall be resolved through the following process:

  1. Informal Resolution: We will attempt to resolve disputes informally. If you have a dispute, please contact us at legal@deepunit.uno to describe the issue and proposed resolution.
  2. Mediation: If informal resolution is unsuccessful, the parties agree to engage in mediation in Cape Town, South Africa, with a mutually agreed-upon mediator.
  3. Arbitration: If mediation is unsuccessful, the dispute shall be settled by binding arbitration in accordance with the rules of the Arbitration Foundation of Southern Africa (AFSA). The arbitration shall take place in Cape Town, South Africa, and shall be conducted in English.

14. Severability

If any provision of these Terms is found to be unenforceable or invalid under any applicable law, such unenforceability or invalidity shall not render these Terms unenforceable or invalid as a whole, and such provision shall be changed and interpreted so as to best accomplish the objectives of such provision within the limits of applicable law.

15. Entire Agreement

These Terms, together with our Privacy Policy and any other agreements expressly incorporated by reference herein, constitute the entire agreement between you and Deepunit concerning the Services and supersede all prior or contemporaneous communications, whether electronic, oral, or written, between you and Deepunit regarding the Services.
